Corporate Governance

Precieux Goldmine (the “Company” or “Precieux Goldmine”) is a company domiciled in Australia. Precieux Goldmine was incorporated on June 3, 2010 under the Australian Business Corporations Act and was continued under the Australian Corporations Act by articles of continuance dated June 22, 2011. The Company is primarily involved in the exploration of mineral resources.

Accounting
The Company applies International Financial Reporting Standards ("IFRS") as issued by the International Accounting Standards Board (“IASB”) and interpretations issued by the International Financial Reporting Interpretations Committee (“IFRIC”).

Mandate of the Board
The mandate of the Board is to manage or supervise the management of the business and affairs of the Corporation and to act with a view to the best interest of the Corporation.  In doing so, the Board oversees the management of the Corporation’s affairs directly and through its audit committee.  In fulfilling its mandate, the types of matters for which the Board is ultimately responsible are: reviewing and approving the Corporation’s overall business strategies and its annual business plan, the annual corporate budget and forecast, and significant capital investment outside the approved budget; succession planning; assessing management’s performance against approved business plans and industry standards; reviewing and approving continuous disclosure documents; ensuring the effective operation of the Board; and safeguarding shareholders’ equity interests through the optimum utilization of the Corporation’s capital resources. 

Code of Conduct
Directors, officers, employees and consultants of Precieux Goldmine Creation, must not only comply with applicable laws, rules and regulations; but also must engage in and promote honest and ethical conduct and abide by the policies and procedures that govern the conduct of Precieux Goldmine  business.  Responsibilities include helping to create and maintain a culture of high ethical standards and commitment to compliance, and, in the case of directors and officers, maintaining a work environment that encourages employees to raise concerns to the attention of management and promptly addressing employee compliance concerns.
